By accessing or using GEOScan ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and paying subscribers.

These Terms constitute a legally binding agreement between you and GEOScan ("we," "our," or "us").

2. Description of Service

GEOScan is a Generative Engine Optimization (GEO) platform that provides:

• GEO analysis and scoring of your website's visibility in AI-powered search engines
• Brand visibility tracking across AI models (ChatGPT, Perplexity, Claude, and others)
• AI-optimized article generation to improve your brand's presence in AI responses
• Prompt tracking to monitor how AI models reference your brand over time
• Actionable recommendations to improve your GEO performance

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

To access most features of GEOScan, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and accept responsibility for all activity under your account
• Notify us immediately at privacy@geoscan.app of any unauthorized use of your account
• Not share your account credentials with others
• Not create accounts for the purpose of abuse or circumventing usage limits

You must be at least 18 years old to create an account.

You agree not to use GEOScan to:

• Violate any applicable laws or regulations
• Abuse or circumvent the rate limits of third-party AI APIs
• Scrape, reverse engineer, or decompile the GEOScan platform
• Attempt to gain unauthorized access to our systems or other users' data
• Use the service to generate harmful, deceptive, or illegal content
• Resell, sublicense, or otherwise commercialize the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service

Violation of this section may result in immediate account suspension or termination.

6. Your Content & Data

You retain ownership of all data, content, and domain information you submit to GEOScan ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to process, store, and analyze Your Content solely for the purpose of providing the Service to you.

You represent and warrant that you have the right to submit Your Content and that it does not violate the rights of any third party.

7. AI API Keys

GEOScan allows you to connect your own API keys from third-party AI providers. You are solely responsible for:

• The security of your API keys
• All usage costs incurred with the respective AI providers through your keys
• Compliance with the terms of service of the respective AI providers

GEOScan is not liable for any costs, damages, or losses arising from your use of third-party AI API keys.

8. Intellectual Property

The GEOScan platform, including its software, design, logos, trademarks, and all related intellectual property, are owned by or licensed to GEOScan. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

AI-generated content produced by the Service using your API keys and your prompts may be subject to the terms of the respective AI provider. You are responsible for understanding those terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

GEOScan does not guarantee specific GEO scores, search rankings, or improvements in AI-engine visibility. Results depend on many factors outside our control, including the behavior of third-party AI systems.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GEOSCAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO GEOSCAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the Service ceases immediately. We will delete your personal data within 30 days of account deletion, subject to our data retention obligations.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. For material changes, we will provide at least 30 days' notice by email or by posting a prominent notice on the Service. Your continued use of GEOScan after the effective date of updated Terms constitutes your acceptance.
